US LLC vs Delaware C-corp for Indian founders: the India leg that decides it

Should an Indian founder form a US LLC or a Delaware C-corp? The C-corp, if anyone else will ever own part of the business: US investors buy preferred stock in a corporation, not LLC units. The LLC fits a bootstrapped solo operator, and even then its US pass-through saves an Indian resident nothing. India taxes a resident on income accruing anywhere (section 5(1)(c), Income-tax Act 2025), does not follow the US classification, and treats a company run in substance from India as resident here (section 6(10)), so the LLC’s profit is taxed in India whether or not it is paid out, with little or no US tax to credit. Form 5472 reaches both entities at 25 percent foreign ownership; under FEMA both are a foreign entity (rule 2(1)(h), Overseas Investment Rules 2022), so the LRS wire is ODI from day one, subject to Schedule III and the Form FC and Annual Performance Report filings. Converting later, by a section 265 filing, a Form 8832 election or a new corporation, is a US tax event and an India re-papering.

LLC vs Delaware C-corp for an Indian-resident owner, side by side

US-side comparisons stop at pass-through, corporate tax and Form 5472. The India and FEMA rows decide it for an Indian resident, in Delaware or Wyoming alike (where to incorporate a US startup).

QuestionUS LLCDelaware C-corp
US tax classification Disregarded with one member, a partnership with more, unless it elects corporate status on Form 8832 A corporation taxed on its own profit; you are taxed again on dividends and on sale
Who files what in the US One member: Form 5472 on a pro forma Form 1120. Two or more: partnership classification and section 1446 withholding. Dates and penalties: the annual US filings of a foreign-founded Delaware company Form 1120 with Form 5472 at 25 percent foreign ownership, plus the Delaware annual report and franchise tax. Same page
India characterisation Unsettled. Company includes any body corporate incorporated outside India (section 2(28)(b)); the treaty gives a partnership no residence for income untaxed in the US (Article 4(1)(b)). Either way your share is taxed in India: at slab rate as it accrues, or in the LLC’s hands as a company resident by POEM A company in both systems. India taxes dividends and sale and credits US tax paid (Article 25(2)(a)); the corporation is resident in India only if its POEM is (section 6(10))
FEMA treatment A foreign entity (rule 2(1)(h)); the interest is ODI (rule 2(1)(q)); Schedule III: operating, not financial services, no controlled subsidiary. The filings are on LRS vs ODI for Indian founders Identical. Founder stock is ODI: same form, same report, same conditions
Investor fit In practice US venture investors do not hold LLC interests; expect conversion before any round The instrument they buy: preferred stock, with SAFEs and notes converting into it and an option pool inside it
Exit and conversion A section 265 filing or a Form 8832 election, each a US deemed contribution and an India re-papering: Table 2 Nothing to convert. A later flip of an Indian company under it: the Delaware flip from India

The India row is our reading, not a regulator position. Against an Indian Pvt Ltd or LLP: Pvt Ltd vs LLP vs Delaware C-corp and the entity-selection decision sheet.

The leg every US-side answer leaves out: an LLC is transparent in the US and not in India

In the US the LLC is not the taxpayer. A non-resident member is taxed on income effectively connected with a US trade or business, which a services LLC run from India with no US office often lacks, and at a flat 30 percent or lower treaty rate on US-source passive income. Verify the sourcing of your services income with a US CPA.

India reads the entity differently, and the treaty does not stop it. The Income-tax Act 2025 defines company to include any body corporate incorporated outside India (section 2(28)(b)). The 1989 India-US convention has no clause on fiscally transparent entities beyond Article 4(1)(b), which gives partnership income treaty residence only where it is taxed in that State as a resident’s income, tested at the partners; an Indian-resident member’s share is not so taxed in the US. Two readings follow, and no CBDT text we could fetch settles which applies.

Read as a company, the LLC is the Indian taxpayer. A company is resident in India in any year its place of effective management, where key management and commercial decisions for the business as a whole are in substance made, is in India (section 6(10)). An LLC run from Bengaluru meets that test: taxed in India on its worldwide profit with no US corporate tax to credit, and, as a dual-resident company, outside the convention save the few articles Article 4(3) keeps. The test in practice: POEM for a company run from India.

Looked through, you are the taxpayer. A resident’s total income includes income accruing outside India (section 5(1)(c)), so your share is yours at your slab rate as it accrues, distributed or not; a multi-member LLC read as a firm is itself resident in India unless controlled wholly from outside India (sections 6(9) and 6(11)). Relief runs through the treaty under section 159: Article 25(2)(a) credits US income tax actually paid, capped at the Indian tax on that income. The pass-through has moved the tax to India, not removed it.

Under either reading the interest is a foreign asset. A resident holding any financial interest in an entity outside India files a return whether or not tax is due (section 263(1)(a)(ix)), cannot use ITR-1 or ITR-4 (e-filing portal, assessment year 2026-27, 9 July 2026), and reports it in the foreign-asset schedule of the return: Schedule FA, as the Income Tax Department’s ITR-2 user manual names it, though that manual describes assessment year 2023-24, so confirm the schedule in your year’s form. The C-corp removes the mismatch, not the tax, and POEM remains: a Delaware corporation run from India is resident in India under the same section 6(10), with no treaty tie-breaker.

The FEMA leg: both entities are foreign entities from the first dollar

The Overseas Investment Rules 2022 (G.S.R. 646(E), 22 August 2022) define a foreign entity as any entity formed, registered or incorporated outside India with limited liability (rule 2(1)(h)), so LLC and C-corp are the same thing to your bank. Unlisted equity capital of one is ODI (rule 2(1)(q)); a sole member has control (rule 2(1)(c)); a subsidiary is any entity it controls (rule 2(1)(y)).

The filings are the same for both entities and belong to one page: Form FC and the UIN before the money that pays the registered agent, the Schedule III conditions on a resident individual and the Annual Performance Report every 31 December are on LRS vs ODI for Indian founders. Two consequences are specific to this choice. A controlled LLC or C-corp that forms or buys a subsidiary breaks the no-subsidiary condition in Schedule III paragraph 1(2)(i), so a US entity over an Indian company is a flip, not an LRS wire: round-tripping and the two-layer rule. And because a sole member has control, the APR of a single-member Delaware LLC rests on audited statements (reg 10(4) Explanation), whatever Delaware itself requires; the bank’s reading of that rule, and the fix if any filing was missed, are on the ODI regularisation checklist.

Formed through Stripe Atlas, Firstbase or Clerky? The India side of that sequence, and the fix if the company is already live: our Stripe Atlas and FEMA page. FinCEN beneficial ownership reporting is on the US compliance page linked in Table 1. The EIN with no SSN, the ITIN question and the account provider’s own beneficial-ownership certification are on EIN without an SSN and a US bank account from India.

Three ways to end up with a C-corp, and what each triggers on both sides

Investors’ counsel expect the statutory conversion: same legal person, contracts intact. A Form 8832 election fixes tax, not form; a new corporation carries the Schedule III trap. Run the India step with the US step.

Table 2 · Three routes from LLC to C-corp, 30 October 2026. The India column is our reading; Delaware fees are the state’s figures (revised 1 August 2026), not Infinilex fees
RouteDelawareUS taxIndia: ODI, APR, foreign-asset schedule
Statutory conversion, 8 Del. C. section 265 An LLC is an “other entity” that may convert (section 265(a)) by filing a certificate of conversion and a certificate of incorporation (265(b)), approved as the operating agreement provides (265(h)); same entity, debts attached, no dissolution (265(f), (g)). State fees USD 184 plus the incorporation fee from USD 109 The owner is deemed to contribute the LLC’s assets and liabilities for stock, as the IRS describes for the election route; verify the treatment with your US CPA before filing. Form 5472 continues on Form 1120 No fresh ODI on its face, but the Form FC and UIN record described a membership interest and must now describe shares: take the certificate of conversion to the AD bank and confirm how it records the change, as no RBI text we could fetch fixes the step. The APR and the foreign-asset schedule follow
Form 8832 check-the-box election Nothing changes: still an LLC with a membership interest Effective no more than 75 days before and no later than 12 months after filing, then locked for 60 months. The owner is deemed to contribute all assets and liabilities for stock; the LLC then files Form 1120 with Form 5472 as a 25 percent foreign-owned corporation No FEMA event on its face: same entity, interest and UIN, and India never followed the US classification. Investors still see an LLC
Form a new C-corp A fresh certificate of incorporation (state fee from USD 109), then contribute the LLC interest so the LLC becomes its subsidiary, or move the assets and dissolve the LLC A contribution of the interest or the assets for stock. Owned by the C-corp, the LLC is no longer foreign-owned and should fall inside the C-corp’s own Form 5472; verify the filing position for the year of the move with the US CPA preparing the return, and see the US compliance page linked in Table 1 A fresh ODI: Form FC and a new UIN before the first remittance. An LLC left under a corporation you control is a controlled subsidiary, which Schedule III does not permit a resident individual, so dissolve or merge it and report the disinvestment through the bank

Which one, by situation

Table 3 · Which entity, by situation, 30 October 2026
SituationPick, and what comes with it
Bootstrapped services business or solo operator, no raise planned An LLC can fit once the India leg is counted: India taxes the profit anyway; the same ODI filings as a C-corp (Table 1); Form 5472; the interest in the foreign-asset schedule. Filed none of it: the ODI regularisation checklist
SaaS planning US investors within 24 months C-corp from day one. Investors will insist, and a later conversion is a US tax event plus an India re-papering. Form FC before the incorporation money leaves; keep the POEM in the US. Founder stock that vests starts a filing clock of its own: the 83(b) election for Indian founders
Founder who already has an Indian company Neither, on its own. A US entity you control over the Indian company fails Schedule III’s no-subsidiary condition and is a flip, not an LRS wire: the Delaware flip from India, round-tripping and the two-layer rule, flip cost and timeline
Founder relocating to the US within two years Pick for the years you remain Indian-resident: the India leg applies until residence changes, and the US filings exist because the owner is foreign. Plan the exit filings and the start of US residence together

On the India leg Infinilex’s chartered accountant certifies the APR, as the OI Directions 2022 require for a resident individual, and an advocate enrolled in India signs the FEMA position; on the US leg a US-admitted Infinilex lawyer signs the Delaware papers and the US position. Infinilex counsel qualified in India, the UAE and the US sign opinions for those jurisdictions; for the EU and any other jurisdiction Infinilex scopes and coordinates the local counsel who sign. Engagement: cross-border structuring; filings: FEMA, ODI and LRS compliance.

Frequently asked questions

Is a US LLC a tax trap for Indian founders? Is its pass-through income taxed in India?

Yes, in the sense that the US advantage saves an Indian resident nothing. The US taxes a non-resident member on income effectively connected with a US trade or business, often nil for a services business run from India with no US office, and at a flat 30 percent or lower treaty rate on US-source passive income; verify the sourcing of your services income with a US CPA. India taxes a resident on income accruing anywhere (section 5(1)(c), Income-tax Act 2025) and does not follow the US classification, so your share is taxed in India at your slab rate as it accrues, or in the LLC's own hands as a company resident by place of effective management, with little or no US tax to credit. Which reading applies is unsettled; verify before you rely on either.

Can I convert a Delaware LLC to a C-corp later, and what does Delaware charge?

Yes: under 8 Del. C. section 265 the LLC files a certificate of conversion to corporation with a certificate of incorporation and remains the same entity. Delaware's fee schedule revised 1 August 2026 lists USD 184 for the conversion plus the incorporation fee from USD 109; those are the state's figures, not Infinilex fees. A Form 8832 election changes tax classification only and locks it for 60 months. For the election the IRS treats the owner as contributing the LLC's assets and liabilities for stock; the statutory conversion is generally read the same way, so verify it with your US CPA before filing. The statutory route has an India step: take the certificate of conversion to your AD bank so the Form FC and UIN record moves from a membership interest to shares (no RBI text we could fetch fixes the mechanics), then show the shares in the APR and the foreign-asset schedule of your return. The election changes nothing in India, which never followed the US classification.

Do I need ODI approval for a US LLC, or is LRS enough?

Both apply, and neither is an approval. An LLC is a foreign entity under rule 2(1)(h) of the Overseas Investment Rules 2022, so your membership interest is ODI paid for with LRS money, and Schedule III permits it only while the LLC is an operating business outside financial services with no subsidiary you control. The filings are the same as for a C-corp; the Form FC, UIN and APR clock is on our LRS vs ODI page.

LLC or C-corp for a SaaS startup from India, and which do US investors want?

C-corp, unless you are certain you will never raise and never add a co-founder. Venture investors buy preferred stock in a Delaware corporation, convert SAFEs and notes into it and sit option pools inside it; an LLC is a conversion job before any round. The LLC's tax advantage does not survive Indian residence, and the FEMA leg is identical for both. If the SaaS already lives in an Indian Pvt Ltd, the question becomes a flip.

Delaware LLC vs C-corp for non-US residents: does the answer change if I run the company from India?

Yes. For a non-resident owner in general the US side reads the same wherever they live. An Indian resident meets two more rules. India reads the LLC as a company or looks through it to you, and taxes the profit either way. And under section 6(10) of the Income-tax Act 2025 a company whose key management and commercial decisions are in substance made in India is resident in India for that year, so an LLC or a C-corp run from Bengaluru is taxed in India on its worldwide profit, and a Delaware corporation in that position is a dual-resident company outside the India-US treaty save a few articles (Article 4(3)). Decide where decisions are made and keep the record that shows it.
